Terms & Conditions

Welcome to Asolora, an online marketplace connecting sellers of authentic African-made products with buyers worldwide. These Terms and Conditions (“Terms”) govern your use of the platform as a Buyer or Vendor. By registering or using Asolora, you agree to these Terms.

1. General Terms

  • You must provide accurate, current, and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  • For your protection and to ensure proper support, all communications, transactions, and payments must occur exclusively within the Asolora platform. Off-platform payments or attempts to bypass Asolora’s checkout system are prohibited and void platform protections.
  • By making a purchase or creating an account, you consent to receive transactional and marketplace-related communications from Asolora, including account notices, platform updates, and promotional announcements. You may opt out of non-essential marketing communications at any time.
  • Asolora may update these Terms periodically. Continued use of the platform constitutes acceptance of the updated Terms.

2. Vendor Terms

  • All products listed must be authentically made in Africa, consistent with Asolora’s mission.
  • Vendors are solely responsible for the accuracy, legality, safety, and quality of their product listings.
  • Vendors set their own prices (see Section 6 for taxes and compliance obligations).
  • Payments are processed through Asolora’s payment system, with applicable fees and commissions deducted as disclosed.
  • Vendors must fulfill orders promptly and provide tracking information when available.
  • Vendors must respond promptly to Buyer-reported issues before delivery is confirmed. Once a Buyer selects “Order Received,” Asolora’s dispute window closes for that order.
  • Vendors may offer their own return or exchange policies; however, these are handled directly between the Buyer and Vendor and are outside of Asolora’s dispute resolution system.
  • Refunds, Chargebacks, and Currency Conversion:
    • Vendors are responsible for all refunds issued for their products, including refunds initiated by the Vendor, the Buyer, or required under applicable consumer protection laws.
    • If a refund or chargeback is processed after funds have been paid out, the refunded amount, along with any non-refundable payment processing fees, chargeback fees, and applicable currency conversion or foreign exchange fees, will be deducted from the Vendor’s future payouts.
    • Vendors receiving payouts in a currency different from the original transaction currency acknowledge that refunds may result in temporary negative balances, which will be settled automatically from future earnings or through Stripe-supported settlement methods.
  • Violation of these Terms may result in suspension or termination of vendor accounts.

3. Buyer Terms

  • Buyers agree to purchase items that are described as authentically made in Africa.
  • Buyers must provide accurate shipping information.
  • Delivery time estimates are provided by Vendors and carriers; delays outside of Asolora’s control may occur.
  • If an item is missing, damaged, or not as described, the Buyer must report the issue before selecting “Order Received.”
  • Once delivery is confirmed by the Buyer, the order becomes final within Asolora’s dispute system, and Asolora will no longer mediate disputes related to that order.
  • Vendors may offer their own return or exchange policies after delivery confirmation; however, these are handled directly between the Buyer and Vendor and are not enforced by Asolora.
  • Buyers agree to communicate respectfully and to use the platform appropriately.
  • Buyers are responsible for any customs duties, import taxes, or local fees not collected at checkout (see Section 6).

4. Liability and Indemnification

  • Asolora is a marketplace platform and is not the seller of record for products offered by Vendors.
  • Vendors are solely responsible for their products, and Asolora is not liable for defects, inaccuracies, or damages arising from Vendor offerings.
  • Asolora assists with resolving order issues reported before Buyer delivery confirmation, but does not mediate or enforce Vendor return policies after confirmation.
  • Users agree to indemnify and hold harmless Asolora and its affiliates from claims arising out of their use of the platform or products purchased.

5. Termination

  • Asolora may suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or prohibited conduct.
  • Users may close their accounts by submitting written notice through the appropriate support channel.

6. Taxes

This section explains how taxes are handled on the Asolora platform for both Buyers and Vendors.

  • Marketplace Collection: Asolora collects and remits sales tax, VAT, or GST in jurisdictions where it is legally registered and required to do so (e.g., certain U.S. states).
  • Checkout Calculation: Any applicable taxes will be displayed at checkout based on the Buyer’s location.
  • Duties and Import Fees: Buyers are responsible for customs duties, import taxes, or local fees not collected by Asolora at checkout.
  • Vendor Responsibilities: Vendors remain responsible for all other tax obligations Asolora does not collect, including income taxes, VAT/GST in their home country, and any required business registrations.
  • No Foreign Filing: Asolora does not file or remit taxes on behalf of Vendors in their countries unless required by law.
  • Tax handling may change as laws evolve or as Asolora registers in additional jurisdictions.

7. Prohibited Conduct

  • Attempting to conduct transactions or communicate outside the platform.
  • Abusive behavior, fraud, harassment, or misuse of the platform.
  • Listing prohibited items or misrepresenting product origins.
  • Chargeback abuse or intentional circumvention of platform fees.
